1. Introduction
Welcome to uudigital.agency. These Terms & Conditions govern your access to and use of our website, contact routes, audits, scorecards, calculators, resources, and services. UUDigital Agency is based in Calgary, Alberta, Canada. By using this website, submitting a contact form, requesting resources, or booking discovery sessions, you agree to these Terms. For client projects, a separate proposal, statement of work, master services agreement, or signed service contract may apply and will supersede these Terms in the event of a conflict.
2. About UUDigital Agency
UUDigital Agency provides custom website design, custom software development, eCommerce development, SEO/GEO and AI search optimization, digital marketing consulting, hosting and maintenance, security/privacy support, and automation solutions. We focus on custom, scalable revenue systems using modern technologies like React and Laravel where appropriate. We do not build WordPress websites. All services are subject to client eligibility, project discovery, and written agreements.
3. Website Use
You agree to use this website solely for lawful business and informational purposes. You are strictly prohibited from utilizing this website in any manner that could damage, disable, or impair our servers, networks, or digital systems. You must not attempt unauthorized access, upload malicious code or malware, harvest data, scrape content, misrepresent your identity, or use website forms to distribute unsolicited spam or commercial messages.
4. Website Content
All content published on this website—including articles, guides, copy, case studies, calculators, and media assets—is provided for general informational purposes about UUDigital Agency and its capabilities. Website content is subject to change without notice and does not create an active client relationship, professional advisory contract, or legally binding service agreement unless confirmed in writing in a signed proposal or contract.
5. Quotes, Pricing, and Estimates
Pricing details, starting budgets, package descriptions, and cost estimates displayed on this website are provided as planning guidelines. Final project pricing depends on scope, framework choices, design complexity, timeline requirements, API integrations, and technical risk. All quotes are subject to final contract. Taxes are added where applicable, and third-party platform licensing fees are managed separately. We maintain strict pricing transparency with no hidden mandatory fees.
6. Client Projects and Written Agreements
All custom development, design, SEO, hosting, or maintenance projects are governed by a separate written agreement (such as a signed proposal, statement of work, or service contract). These separate project agreements detail specific scopes of work, lists of deliverables, timelines, invoicing schedules, revision limits, acceptance criteria, intellectual property ownership transfers, warranties, and cancellation terms.
7. Client Responsibilities
To complete projects on schedule, clients must cooperate in good faith. You are responsible for supplying accurate business information, content copy, brand assets, and required hosting or system credentials on time. You must also ensure you hold the legal rights to all materials you provide, review deliverables promptly, and comply with all privacy, data protection, and consumer laws applicable to your industry and users.
8. Payments, Deposits, Invoices, and Taxes
Deposits are required before any project discovery or active custom design starts. Milestone payments are invoiced and payable according to the project agreement. Overdue invoices can delay staging deployments, final custom development, or website launch. Applicable GST/HST or provincial taxes are added to invoices. Recurring services (such as hosting, maintenance, or monthly content support) renew monthly and can be paused or suspended for non-payment.
9. Revisions, Change Requests, and Scope
The baseline project scope is defined inside the approved proposal or written agreement. Reasonable design or code revisions are included where specified. Additional revisions, unexpected integrations, added pages, or timeline modifications outside the original scope require a new estimate or change order. We will advise you promptly if a requested change affects your timeline, budget, security, or maintainability.
10. Timelines and Delivery
Timelines, milestones, and launch dates are commercial estimates and not strict guarantees unless explicitly agreed in writing. Project timelines are heavily dependent on client response times, content delivery, third-party approvals, API accessibility, and payment schedules. We commit to keeping clients updated on any timeline changes as development progresses.
11. Launch, Acceptance, and Post-Launch Support
Launch occurs when final deliverables are deployed, made public, or delivered to the client. Clients are expected to review and approve staging environments before launch. Minor post-launch adjustments are covered under the project agreement. Ongoing technical maintenance, hosting, updates, and backups require a separate support package or Essential/Business/Commerce Care plan.
12. Intellectual Property
UUDigital Agency retains ownership of its pre-existing code, reusable frameworks, component libraries, templates, processes, and tools. Upon full payment of all project invoices, the client receives the rights and licence to use the final approved deliverables. Rejected design mockups, exploratory drafts, unused code branches, and unpaid deliverables remain the property of our Calgary agency.
13. Portfolio and Attribution
We reserve the right to display completed websites, case studies, visual layouts, and project outcomes in our portfolio and marketing materials, unless a signed NDA or contract restricts this. We may also include a small, discreet website credit or link in the footer of completed websites, which can be removed upon reasonable request.
14. Confidentiality
We treat all business metrics, proprietary code, customer lists, and private files shared with us during a project as confidential. We will take reasonable precautions to prevent unauthorized access to or disclosure of your confidential info. Confidentiality does not cover public info, data we already hold, or disclosures required by law.
15. Privacy
We handle website visitors and client information in accordance with our Privacy Policy. Our policy describes how we collect, store, safeguard, and retain personal info, utilize cookies, and handle analytics telemetry under PIPEDA and PIPA. Please review our Privacy Policy to understand your rights.
16. Third-Party Services, Platforms, and Tools
Client websites regularly utilize third-party integrations, cloud servers, payment processors (such as Stripe), domain managers, and APIs. While we implement these carefully, UUDigital Agency is not responsible for outages, pricing hikes, policy revisions, data breaches, or platform closures on third-party services outside our control.
17. SEO, Marketing, Analytics, and Performance Results
We build fast, structured website architectures designed to support search engine crawlers and conversions. However, we do not guarantee specific Google rankings, AI Overview visibility, traffic metrics, ad approvals, or final conversion increases. Search engine algorithms and paid ad markets are highly competitive and outside our direct control.
18. eCommerce and Custom Software
eCommerce, marketplace, and custom software clients are responsible for their product descriptions, shipping rules, tax calculations, refund terms, and customer data compliance. While we build robust technical systems, we do not provide accounting, tax, or legal compliance advice. Clients should consult qualified experts before launch.
19. Accessibility, Security, and Compliance
We implement industry standard practices for security, privacy, and accessibility (such as WCAG guidelines). However, we do not warrant that any digital asset is fully compliant with all local, provincial, or international laws unless confirmed in writing. Compliance audits and legal reviews should be completed by qualified professionals.
20. Prohibited Client Content and Requests
We reserve the right to decline or stop work that involves illegal material, deceptive claims, spam, malware, phishing, IP infringement, platform violations, or abusive content. We also decline requests that would compromise the security, accessibility, or lawful operation of our systems.
21. Disclaimers
Our public website and free resources are provided on an "as is" and "as available" basis without warranties of any kind. We do not warrant that our website will be completely uninterrupted, error-free, or secure from all cyber incidents, though we take reasonable commercial steps to maintain stability.
22. Limitation of Liability
To the maximum extent permitted by applicable law, UUDigital Agency will not be liable for any indirect, incidental, special, consequential, or lost-profit damages arising out of your use of our website or services. Our direct liability for any validated project claim is limited to the fees paid for that specific service.
23. Indemnity
You agree to indemnify and hold harmless UUDigital Agency, its directors, and staff against any claims, losses, or legal costs arising from your breach of these Terms, unlawful use of our website, materials you supply that infringe on third-party intellectual property, or failure to comply with laws applicable to your business.
24. Suspension or Termination
We reserve the right to pause, suspend, or terminate access to work, hosting, maintenance, or technical support if project invoices remain unpaid, required credentials are withheld, project terms are breached, or continued operation creates technical, security, or legal risk.
25. Force Majeure
UUDigital Agency is not responsible for any project delays or operational service failures caused by events outside our reasonable control. These events include natural disasters, power grids, fiber outages, upstream DNS issues, labor disputes, illness, war, civil unrest, or supply disruptions.
26. Governing Law
These Terms & Conditions are governed by the laws of the Province of Alberta and the applicable federal laws of Canada. Any legal proceedings, dispute hearings, or claims arising from these terms will be handled exclusively in the courts of Calgary, Alberta, Canada, unless agreed otherwise.
27. Dispute Resolution
We believe in polite, transparent Canadian communication. Before initiating any formal legal proceedings, both parties agree to make reasonable, good-faith efforts to resolve any project dispute through direct communication, compromise, or mediation.
28. Changes to These Terms
We may update these Terms & Conditions periodically to reflect changes in our services, pricing structures, or legal requirements. Updates are published on this page with an updated date. Continued use of our site means you have had the opportunity to review the updated terms.
